Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CloseSignal AI LLC ("CloseSignal," "we," "our," or "us") governing your access to and use of the CloseSignal platform, website at closesignal.ai, and all related services (collectively, the "Service").

By accessing or using CloseSignal — including completing an application, participating in a Playbook Session, or using the live co-pilot platform — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use CloseSignal.

2. Description of Service

CloseSignal is a live AI co-pilot platform built for high-ticket sales closers. The Service includes:

• A personalized Playbook Session during which our team works with you to build an AI system trained on your specific offer, scripts, objection handles, and closing process
• A live AI co-pilot that listens to your sales calls in real time and provides on-screen guidance, suggested responses, objection handling, and coaching cues
• Post-call review features including call summaries, objection tracking, and Prospect Profiles
• A compounding Playbook system that refines your personalized AI over time based on your call history and patterns
• Integration with supported calling platforms including Zoom, Google Meet, Microsoft Teams, and VoIP systems

CloseSignal is a selective, application-based platform. Access is not guaranteed to all applicants. We reserve the right to accept or decline any application at our sole discretion.

3. Founders Club and Access

CloseSignal's initial launch operates through a Founders Club model — a limited, selective cohort of closers who gain early access at a founding rate before the platform opens more broadly.

Founders Club Benefits

• Personal Playbook Session with the CloseSignal team
• Founders Club access rate locked for the duration of your membership
• Priority access to new features as they are released
• Direct access to the founding team for support and feedback

Rate Lock

Founders Club members who maintain an active subscription retain their founding rate indefinitely. If you cancel your subscription and later reactivate, your account will be subject to the then-current pricing at that time.

4. Payments and Billing

Playbook Session Fee

A one-time Playbook Session fee is charged prior to your onboarding session. This fee covers the personal session with our team to build your custom AI system and is non-refundable once the session has been completed.

Monthly Subscription

Platform access is billed monthly. Your subscription renews automatically on the same date each month unless you cancel prior to the renewal date.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. We do not offer partial-month refunds.

Failed Payments

If a payment fails, we will attempt to collect payment using updated information. If payment cannot be collected within 7 days of the renewal date, your account may be suspended. Account suspension does not delete your Playbook data — you have 30 days to reactivate before permanent deletion.

Price Changes

We reserve the right to change our pricing for new subscribers at any time. Existing subscribers will be given 30 days notice of any pricing changes that affect their account.

5. Acceptable Use

You agree to use CloseSignal only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in violation of any applicable federal, state, local, or international law or regulation
• Use CloseSignal to engage in deceptive, fraudulent, or misleading sales practices
• Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code or underlying algorithms of the platform
• Share your account credentials with any third party or allow unauthorized access to your account
• Use the Service to collect or harvest personal data from prospects in violation of applicable privacy laws
• Resell, sublicense, or otherwise commercialize access to the CloseSignal platform without our written consent
• Interfere with or disrupt the integrity or performance of the Service or related systems
• Upload or transmit viruses or other malicious code through the platform

6. Call Recording and Monitoring Laws

CloseSignal processes live audio to provide real-time guidance visible only to you. Whether this constitutes "recording" or "monitoring" under applicable law depends on your jurisdiction and the specific laws in effect. We strongly recommend consulting with legal counsel to understand your obligations before using CloseSignal on calls with prospects in regulated jurisdictions.

CloseSignal AI LLC is not liable for any legal claims, fines, or penalties arising from your failure to comply with applicable call recording, monitoring, or wiretapping laws.

7. Intellectual Property

CloseSignal's Property

The CloseSignal platform, including its underlying technology, AI models, interface design, branding, and all related intellectual property, is owned exclusively by CloseSignal AI LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the platform.

Your Content and Data

You retain full ownership of the content you provide to CloseSignal, including your sales scripts, offer details, objection handles, and other Playbook materials. By providing this content, you grant CloseSignal a limited, non-exclusive license to use it solely for the purpose of delivering the Service to you — specifically, to build and operate your personalized AI co-pilot.

We do not use your specific business data, scripts, or call content to train general AI models or to benefit other users of the platform.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

8. Confidentiality

Each party acknowledges that in the course of this agreement, they may receive confidential information belonging to the other party. Both parties agree to maintain the confidentiality of such information and not to disclose it to any third party without prior written consent, except as required by law.

Your Playbook content, call data, and business information are treated as confidential by CloseSignal and are not shared with third parties except as described in our Privacy Policy.

9. Disclaimers and Limitation of Liability

No Guarantee of Results

CloseSignal is a tool designed to support skilled closers. We do not guarantee specific sales outcomes, close rates, or revenue results from using the platform. Your results depend on many factors including your skill, your offer, your market, and your execution.

Service Availability

We strive to maintain high platform availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, CloseSignal AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the total amount you paid to CloseSignal in the twelve months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless CloseSignal AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation, including call recording and monitoring laws
• Your sales practices or representations made to prospects during calls
• Any content you provide to CloseSignal that infringes the rights of any third party

11. Termination

Either party may terminate this agreement at any time.

Termination by You

You may cancel your subscription and close your account at any time. Upon cancellation, your access to the platform will continue through the end of the current billing period. After that, your account and all associated Playbook data will be permanently deleted within 30 days.

Termination by Us

We reserve the right to suspend or terminate your access to CloseSignal immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in conduct harmful to other users or the integrity of the platform, or for any other reason we deem appropriate. In cases of termination for cause, no refund will be issued for the current billing period.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States and the state in which CloseSignal AI LLC is registered, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Service that cannot be resolved through good-faith negotiation will be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in the state where CloseSignal AI LLC is registered. Each party will bear its own costs unless the arbitrator determines otherwise.

You waive any right to participate in a class action lawsuit or class-wide arbitration against CloseSignal AI LLC.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last Updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription prior to the effective date of the changes.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloseSignal AI LLC regarding the Service and supersede all prior agreements, understandings, and negotiations between the parties with respect to the subject matter herein.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
